1. General Principles

Batel Code of Ethics is a set of indispensable rules established to regulate internal relations and the relations of the Company and all employees with customers, suppliers and other stakeholders, to increase service quality, to increase efficiency in the effective use of resources and to prevent unfair competition. The ultimate goal of Batel Code of Ethics is to put our code of conduct in writing and to increase the awareness of our employees and stakeholders in order to create a common corporate culture on business ethics as a socially responsible organization.

 

 

2. Scope of the Code of Ethics

Batel Code of Ethics defines the ethical behavior expected from our employees and managers working in all operations of our company. This document applies to all units directly or indirectly related to Batel Elektromekanik.

It is aimed to guide Batel employees and those acting on behalf of the organization to act in accordance with the laws and business ethics in the decisions they will make and the behaviors they will show while performing their duties. The Code of Ethics is integrated with the Company's policies, values and principles and covers employees, members of the Board of Directors, suppliers and business partners, intermediaries, contractors, vicarious agents and all third parties with whom business is conducted.

3. Honesty

Batel is based on the principle of being honest, open, accurate and reliable in all professional relationships and processes. Honesty also includes doing the right business and being reliable.

 

 

4. Compliance with Laws and Regulations

We fully comply with applicable laws, regulations, treaties, agreements, contracts and business practices in all countries in which we operate. This includes local labor laws, international trade regulations, safety standards and environmental legislation.

Expected Behaviors:

- It is important to be aware of the legal framework regarding duties and responsibilities and to act accordingly.

- Due care is expected to be taken to prevent BATEL from encountering situations that may pose legal, financial or reputational risks.

 

 

5. Knowledge Management

We protect the confidentiality, integrity and authorized access to all sensitive and proprietary information. This includes product development projects, strategic business plans, pricing structures, customer data and internal financial reports. It is important for Batel to protect the private and confidential information of employees, customers, suppliers and other stakeholders and it is not allowed to share this information with third parties without their consent.

Expected Behaviors:

a) It is important to take care to protect confidential information and make it accessible only to authorized persons.

b) Confidential information should not be reproduced, shared or disclosed without legal permission or explicit authorization.

c) It is essential that personal data is processed with care and used only within the scope of business necessity.

d) Care must be taken to ensure that confidential information is not used for personal gain or for the benefit of third parties.

e) It is advisable to avoid discussing confidential matters in public or in unsafe environments.

f) It is expected not to produce, disseminate or share false or misleading content about BATEL or related persons.

 

 

6. Relations with Customers, Suppliers and Other Stakeholders

Private business relationships with the Company's customers, suppliers and other stakeholders cannot be entered into, money/goods cannot be borrowed for personal purposes and money/goods cannot be lent to customers, suppliers and other stakeholders. In addition, the purchase of personal goods or services from customers, suppliers and other stakeholders at a fraction of their value or without paying any price at all is considered as procurement of interest and requires termination of employment.

 

 

7. Communication

We value transparent, responsible and respectful communication. Only authorized persons may speak on behalf of Batel in public or media-related situations.

Expected Behaviors:

a) Compliance with Batel's official disclosure procedures when responding to media or third party requests.

b) Not represent the company in a public or official capacity unless expressly authorized to do so.

 

 

8. Social Media

As Batel Elektromekanik, we respect freedom of expression. However, we expect our team members to communicate in a respectful, balanced and discreet manner and to act in a way that does not harm the image of Batel or any person associated with the company.

Expected Behaviors:

- a) It is important to avoid disclosing or sharing information, images or events that could damage BATEL's reputation.

- b) BATEL's logo, clothing, promotional product or similar visual elements are expected not to be used in ways that are not appropriate for the brand or for which permission has not been obtained.

- c) It would be appropriate not to share images, comments or content belonging to employees or other persons - especially if they relate to BATEL's work environment and activities - without obtaining the necessary prior approvals.

 

 

9. Company Ownership

We are committed to using all company assets - tangible and intangible - responsibly, ethically and effectively for conservation, longevity and efficiency.

Expected Behaviors:

- a) It is important to pay attention to the careful use of Company assets and to prevent damage, waste and loss.

- b) Respect is expected for all BATEL intellectual property - including technical drawings, tables, internal documents, procedures, software and trademarks - whether registered or not.

- c) BATEL's materials, equipment or corporate identity elements should not be used for personal purposes or for the benefit of third parties.

- d) In the event of theft, fraud or unauthorized use of BATEL assets, it would be appropriate to report the matter promptly.

 

 

10. Impartiality

The principle of impartiality obliges our employees not to allow prejudices, biases, conflicts of interest or the abuse of influence by others to influence their professional or business judgment and decisions.

 

 

11. Corruption and Money Laundering

As Batel, we follow a zero-tolerance policy on corruption and money laundering. We firmly reject all practices involving bribery, improper advantage or unethical incentives in business activities.

Expected Behaviors:

- a) It is essential not to request or accept gifts, privileges or inappropriate advantages that may harm ethical standards, either personally or on behalf of BATEL. Company employees may not request or insinuate gifts from customers/contractors/suppliers and other companies and persons with whom the Company has commercial relations; they may not accept any gift, money, check, property, free vacation, special discounts that would put the Company under obligation. Gifts such as agendas, flowers, chocolates received on New Year's Eve are excluded from this scope. The value of such gifts cannot exceed 500 TL. This figure may be reviewed every year and increased by the rate of inflation if necessary. As an indication of a business relationship, gifts with symbolic value such as an inscribed plaque or statue may be given and accepted. Valuable gifts that are accepted compulsorily within the limits of courtesy are delivered to the Human Resources Responsible with a report to be evaluated in the gift draw to be organized at the company's New Year's party. Personal aid and donations cannot be accepted from any person or organization that has a business relationship with the Company.

- b) It is inappropriate to offer, offer or approve any improper advantage to public officials or private sector representatives in order to gain influence or benefit.

- c) It is important not to participate in or support activities that may constitute money laundering in any way.

- d) There should be no interference with official investigation, audit or review processes.

- e) Full compliance with BATEL's anti-corruption policy and all applicable anti-bribery legislation is expected.

 

 

12. Labor Relations and Human Rights

12.1. Professional Competence and Diligence

Professional Competence and Diligence covers keeping the professional knowledge and skills of all our employees at a level that will enable them to carry out their responsibilities and ensure that customers receive the right service in departments in contact with customers, acting in accordance with the standards in practice and taking care.

12.2. Discrimination

Batel Elektromekanik embraces diversity and firmly rejects all forms of discrimination based on ethnic origin, religion, culture, age, gender, political opinion, nationality, marital status, sexual orientation, physical/intellectual status.

Expected Behaviors:

- a) It is important to maintain respectful and professional communication in all working relationships regardless of position, duty or seniority.

- b) In recruitment, evaluation, promotion, remuneration and termination processes, it is essential that decisions are made only on merit and in line with the requirements of the task.

 

 

12.3. Violence

Any form of verbal, psychological or physical violence is not acceptable at Batel.

Expected Behaviors:

- a) Please refrain from behavior that involves verbal, written or physical aggression or that creates hostility or fear.

- b) The carrying and use of weapons is only possible to the extent permitted by law.

 

 

12.4. Mobbing and Sexual Harassment

Batel has a zero-tolerance policy against mobbing and sexual harassment.

Expected Behaviors:

- a) Do not use your authority or position to harass or take advantage of others.

- b) Avoid behavior that is offensive, humiliating or psychologically damaging.

- c) Do not use explicit sexual language or unwanted innuendo.

- d) Managers are obliged to prevent and intervene in cases of harassment.

 

 

12.5. Drugs and Alcohol

Possession, consumption or working under the influence of illegal drugs and alcohol is prohibited in Batel.

Expected Behaviors:

- a) Please do not possess, use or distribute these substances during working hours and on Batel premises.

- b) Please do not be in the company when you are under the influence of substances that adversely affect your performance or safety.

 

 

12.6. Conflict of Interest

Batel employees are prohibited from engaging in any activity that may conflict with company interests.

Expected Behaviors:

- a) It is important to avoid activities that are not in line with the Company's interests or that may adversely affect job performance.

- b) It is expected not to engage in personal commercial ventures within the work environment.

- c) In decisions regarding procurement, operations or collaborations, it is essential to avoid situations that may create interests in favor of yourself or your relatives.

- d) When a potential conflict of interest is recognized, it would be appropriate to notify the management as soon as possible.

 

 

12.7. Adult or Child Labor Exploitation

Batel has a zero-tolerance policy on child labor, forced labor and human trafficking.

Expected Behaviors:

- If you detect such activities, please report them immediately.

- It is essential not to cooperate with persons or organizations found to be involved in such practices.

 

 

12.8. Political Party Activities

We respect the rights of employees to participate in the democratic process.

Expected Behaviors:

- a) Political activities are considered appropriate to be conducted outside working hours and without using BATEL's name, resources or facilities.

- b) When expressing your personal political views, it is important that they are shared in a way that is not perceived as an official company position.

 

 

12.9. Occupational Health and Safety

Batel is committed to providing a safe working environment.

Expected Behaviors:

- a) It is important to take care to keep the working environment safe and accessible.

- b) All existing security protocols are expected to be strictly followed.

- c) If unsafe situations are noticed, it is appropriate to inform the relevant units immediately.

 

 

12.10. Compliance with Corporate Policies and Procedures

All employees are obliged to comply with Batel's policies and procedures.

Expected Behaviors:

- a) It is important that policies and procedures are known, understood and applied in relation to tasks.

- b) Managers should set an example for their teams and provide the necessary training.

 

 

13. Sexual Abuse and Exploitation of Children and Young People

Batel has a zero-tolerance policy against sexual abuse and exploitation of children and young people.

Expected Behaviors:

- Please report any suspicions, symptoms or incidents of such cases immediately.

 

 

14. Customers We aim to add value to our customers by providing high quality, sustainable and innovative products and services.

Expected Behavior:

- Treat all customers fairly, respectfully and with care.

- Being attentive, proactive and responsible in meeting customers' needs.

- To represent Batel in a professional manner, aiming to build long-term relationships based on trust.

 

 

15. Suppliers and Independent Contractors As Batel Elektromekanik, we see our suppliers and independent contractors as our strategic partners in building a sustainable future. Adhering to the principle of fair behavior, we expect compliance with ethical standards and applicable legal regulations.

Expected Behavior:

- Select business partners based on objective, technical and commercial criteria; avoid favoritism.

- Prioritizing cooperation with business partners that demonstrate environmentally and socially responsible practices.

- Ensure that all suppliers and contractors comply with Batel's ethical expectations and applicable laws.

 

 

16. Competitors We support fair and transparent competition as a key driver of innovation, progress and technological development in our industry.

Expected Behavior:

- Not to engage in activities aimed at manipulating the market or preventing competition.

- Compete fairly, avoiding defamation, spreading false information or unfair practices about competitors.

- To comply with the principles of honesty and adherence to the law in all commercial relations.

 

 

17. Trade Associations As Batel Elektromekanik, we establish transparent and purposeful relations with trade associations where common issues that may directly or indirectly affect our sector and activities are discussed.

Expected Behavior:

- Obtaining approval from the company management before representing Batel in chambers of commerce and industry, industrial associations, professional platforms or sectoral working groups.

- Limiting discussions in trade associations to common topics such as economic policies, taxation, scientific and technical standards, legislation or structural adjustments in the electricity and energy sector.

- Not sharing confidential or commercially sensitive information in formal meetings or in informal settings - especially matters that may affect Batel's or its business partners' strategic decisions.

 

 

18. Society Batel Elektromekanik acts with the awareness that it is a part of the society in which it operates and takes into account the social, environmental and economic impacts of its activities. We encourage our employees to participate in voluntary work and to take part in social initiatives in line with our corporate values.

Expected Behavior:

- Considering the wider social consequences of company decisions, especially those that may affect society.

- To carry out all activities in line with Batel's internal procedures and relevant legal frameworks.

 

 

19. Environment As Batel Elektromekanik, we are committed to carrying out our activities with an awareness of environmental responsibility. As part of our contribution to global sustainability and in line with international standards; we aim to minimize the ecological impact of our products, production processes and daily activities.

Expected Behavior:

- a) Always comply with applicable environmental laws and regulations in all countries where we operate or export.

- b) To prefer environmentally safe materials and methods in our design, production and supply chain activities, avoiding practices that may harm public health or ecosystems.

 

 

Code of Ethics Management

The relevant departments within Batel are responsible for overseeing the implementation and updating of this Code of Ethics. The aim is to ensure the currency and effectiveness of these rules in all areas of the company. All Batel employees, managers, stakeholders, business partners and representatives are expected to comply with this Code in their professional activities.

Batel's ethical culture is built on continuous improvement, compliance with international best practices and transparency. Everyone working with or on behalf of Batel is expected to uphold the highest standards of integrity for a responsible, fair and sustainable future.
